Agreement

By applying to or participating in the WOOHL Affiliate Program (“Program”), you agree to these Affiliate Terms (“Terms”) and our general Terms of Service. WOOHL (“we”, “us”) may update these Terms; we will notify active affiliates of material changes. Continued participation after changes constitutes acceptance.

New referral terms apply only to referrals made after the effective date of a change — see Section 4 (Grandfathering).

Eligibility

Open to WooCommerce agencies, consultants, content creators, complementary product vendors, and existing WOOHL customers.
You must be 18+ and able to enter a binding agreement.
Applications are manually reviewed. We may approve or reject any application at our sole discretion.
Self-referral is prohibited. You may not earn commission on accounts you own, control, or create for yourself or related parties.

Commission

Rate	20% recurring on all eligible plans (monthly, annual, founding, enterprise)
Duration at launch	Lifetime — commission continues while the referred customer maintains a paid subscription
Duration changes	We may change the default to 12 months only for new referrals. Referrals attributed before that change keep lifetime terms (grandfathered).
Cookie window	60 days from click to qualifying signup/payment
Hold period	45 days after each qualifying payment before commission is approved (refund/chargeback protection)
Minimum payout	None — all approved commissions are paid on the monthly payout cycle
Payout methods	PayPal, Wise, or bank transfer (you choose; fees may apply)
Payout schedule	Monthly, for all commissions approved before the payout date

Eligible plans: All current and future WOOHL subscription plans unless we explicitly exclude a plan in writing.

Enterprise / custom deals: Commission applies at 20% of amounts actually paid by the referred customer.

Grandfathering (commission duration changes)

If we change the Program from lifetime recurring commission to a capped duration (e.g. first 12 months only):

Existing attributed customers (signed up before the change date) → affiliate keeps lifetime 20% while they remain subscribed.
New customers (signed up on or after the change date) → affiliate earns 20% for the active cap period only (e.g. 12 monthly payments).

We will publish the effective date and notify active affiliates in advance where practicable.

Refunds, cancellations & clawback

If a referred customer receives a full or partial refund or chargeback, the related commission (pending or paid) may be deducted or clawed back.
Commissions remain pending during the 45-day hold and the customer’s refund-eligibility period under our 90+ Guarantee.
If a customer cancels after the hold period, you keep commission already earned; no commission accrues on future periods after cancellation.

Tracking & attribution

Attribution uses cookies and platform tracking. Last valid click within the 60-day window generally receives credit.
We are not responsible for lost attribution due to cookie blockers, cleared cookies, cross-device browsing, or technical limitations.
Fraudulent, artificial, or incentivized traffic (fake signups, bot clicks) voids commission and may terminate your account.

Marketing rules

Publish honest reviews, comparisons, and tutorials
Share your affiliate link on your website, social media, email to your own opted-in audience, and client communications where appropriate

✗ You may not

Bid on “WOOHL” or confusingly similar trademarks in paid search (Google, Bing, etc.) without written permission
Use fake, unauthorized, or misleading coupon codes
Make false or unverifiable claims (e.g. guaranteed PageSpeed outcomes for stores we have not audited)
Send spam or use purchased/scraped email lists
Impersonate WOOHL or suggest you are an employee or official partner unless we agree in writing
Cookie-stuffing, pop-under abuse, or other deceptive tracking practices

Disclosure (required)

You must clearly disclose your affiliate relationship wherever you promote WOOHL (e.g. “Affiliate link — I may earn a commission”). This satisfies FTC and similar disclosure requirements in your jurisdiction.

Brand assets

We may provide logos and marketing materials. Use them only as provided; do not alter the WOOHL logo or imply endorsement beyond the affiliate relationship

Tax

You are responsible for taxes on your commission income in your country.
US affiliates: we may require a completed W-9 (or equivalent) before payout above IRS thresholds.
International affiliates: you declare and remit your own taxes; we may request tax identification where required by law.

Termination

Either party may terminate at any time.
We may suspend or terminate your account immediately for Terms violations, fraud, or brand harm.
On termination: unpaid approved commissions will be paid on the next cycle unless terminated for cause (fraud/violation).
Grandfathered commission rights on customers attributed before termination continue only if we terminate without cause; termination for fraud/violation forfeits all pending and future commission.

Limitation of liability

The Program is provided “as is.” Our total liability related to the Program is limited to unpaid commissions legitimately earned and not clawed back. We may modify, pause, or end the Program with reasonable notice to active affiliates.
